These Terms of Service (“Terms”) constitute a legally binding agreement between HIPAA Essentials Library (“Company,” “we,” “us,” or “our”) and you, the individual or entity accessing or using our website located at hipaaessentialslibrary.com (the “Site”) or purchasing our digital products (“Products”). By accessing the Site or completing a purchase, you represent that you have the authority to enter into this agreement and that you agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Site immediately.

01Acceptance of Terms

Your access to and use of the Site constitutes your acceptance of these Terms, our Privacy Policy, our Refund Policy, and any other policies or guidelines posted on the Site, each of which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Modifications will be effective upon posting to the Site, and your continued use of the Site following any modification constitutes your acceptance of the revised Terms.

02Eligibility

The Site and Products are intended for use by adults who are at least eighteen (18) years of age and who have the legal capacity to enter into binding agreements. By using the Site, you represent and warrant that you meet these eligibility requirements. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

03Description of Products and Services

The Company provides digital compliance resources, including HIPAA-related templates, policies, procedures, toolkits, and educational materials, intended for use by healthcare organizations, covered entities, business associates, and compliance professionals. All Products are delivered digitally and are subject to the terms of our Digital Product License Agreement, which is incorporated herein by reference.

04No Legal Advice

The Company is not a law firm and does not provide legal advice. All content available on the Site and all Products are provided for general informational and educational purposes only. No attorney-client relationship is established by your use of the Site or your purchase of any Product. Laws and regulations—including HIPAA and related state privacy laws—are complex and subject to change. The Company strongly recommends that you consult with a qualified attorney or compliance professional for advice specific to your organization’s facts and circumstances before implementing any policy, procedure, or practice based on our materials.

05Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, and digital downloads, is the proprietary property of the Company or its licensors and is protected by applicable United States and international intellectual property laws. You are granted a limited license to access and use the Site for personal, non-commercial purposes consistent with these Terms. You may not:

Reproduce, distribute, publish, or publicly display any content from the Site without prior written consent;
Modify or create derivative works from Site content for external distribution;
Use any Company trademark, service mark, or trade name without express written authorization; or
Use automated tools (such as bots, scrapers, or crawlers) to harvest content from the Site.

06User Conduct

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You shall not:

Use the Site in any way that violates applicable federal, state, local, or international law or regulation;
Transmit any unsolicited or unauthorized advertising or promotional materials;
Introduce viruses, Trojan horses, worms, or other malicious code to the Site;
Attempt to gain unauthorized access to any portion of the Site or its related systems; or
Engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the Site.

07Payment and Pricing

All prices for Products are displayed in United States Dollars (USD) and are subject to change without notice. Payment is due at the time of purchase and will be collected through our third-party payment processor. You represent that you are authorized to use the payment method provided. All sales are subject to our Refund Policy, which is incorporated herein by reference.

08Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

09Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR REGULATORY FINES AND PENALTIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY PRODUCT, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

10Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Site or Products, or your violation of any third-party right.

11Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Indianapolis, Indiana, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

12Dispute Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute arising from or related to these Terms informally by contacting us at support@hipaaessentialslibrary.com. If the dispute is not resolved within thirty (30) days of notice, either party may pursue available legal remedies as set forth in Section 11.

13Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

14Waiver

No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right. Any waiver of a provision of these Terms must be made in writing and signed by an authorized representative of the Company.

15Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Digital Product License Agreement, constitute the entire agreement between you and the Company with respect to your use of the Site and purchase of Products, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
